TERMS AND CONDITIONS OF SERVICE

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement ("Agreement") made between you, whether personally or on behalf of an entity ("User" or "you"), and Ucanly Infotech LLP ("Company," "we," "us," or "our"), concerning your access to and use of the https://ucanly.in/ website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform") and the services offered thereon (the "Services").

By accessing the Platform or utilizing our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Intellectual Property & Limited License

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content for your personal, non-commercial educational purposes strictly in accordance with these Terms.

3. User Registration and Account Security

3.1. Eligibility: By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

3.2. Account Creation: You agree to provide true, accurate, current, and complete information during the registration process. You are solely responsible for all activities that occur under your account.

3.3. Account Security: You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify the Company of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.

4. Services and Financial Terms

4.1. Fees and Payment: You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. All payments are non-refundable, except as expressly provided otherwise. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

4.2. Course Access: Access to our digital courses and materials is granted for a specified period as defined at the time of purchase. Sharing of account credentials to grant access to third parties is a material breach of this Agreement and will result in immediate termination of Services without refund.

4.3. Career Services: The Company may offer internship and placement assistance ("Career Services"). You acknowledge that the Company does not guarantee employment or an internship. Our role is strictly to provide training and facilitate connections with potential employers. The ultimate hiring decision rests solely with the third-party company.

4.4. Live Sessions: Our Services may include live online sessions. We reserve the right to reschedule, modify, or cancel sessions with reasonable notice. You consent to the recording of these sessions for our internal quality, training, and promotional purposes, subject to our Privacy Policy.

5. User Conduct and Restrictions

As a user of the Platform, you agree not to:

  • Systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform.
  • Engage in unauthorized framing of or linking to the Platform.
  • Use any information obtained from the Platform in order to harass, abuse, or harm another person.
  • Use the Platform in a manner inconsistent with any applicable laws or regulations.
  • Decompile, reverse engineer, or disassemble any of the software comprising or in any way making up a part of the Platform.

6. Disclaimer of Warranties

THE PLATFORM AND ITS SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the Platform, breach of these Terms, or your violation of the rights of a third party.

9. Termination

We reserve the right, in our sole discretion, to terminate your access to the Platform and the related Services or any portion thereof at any time, without notice, for any reason, including, without limitation, for breach of these Terms and Conditions.

10. Governing Law and Dispute Resolution

These Terms and Conditions and your use of the Platform are governed by and construed in accordance with the laws of India. You irrevocably agree that the courts of Bengaluru, Karnataka, shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement.

11. General Provisions

11.1. Entire Agreement: This Agreement, together with the Privacy Policy and any other legal notices published by us on the Platform, shall constitute the entire agreement between you and us concerning the Platform.

11.2. Severability: If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.

11.3. Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
